Profit participation certificates of Ella Media AG are issued to persons who are connected with the company in a special way.
The holder of a profit participation certificate is entitled to the property rights in accordance with the Articles of Association: the right to participate in the balance sheet profit or the dividend, and to the distribution of the liquidation result. Unlike shares, however, a holder of profit participation certificates has no membership rights (such as voting rights).

The Issuer’s objective is to develop software for the production of industry-specific and consumer-oriented content in the form of text, audio, images and videos based on artificial intelligence. The funds will be used for operations, research and development, sales and marketing, as well as investments and expenses to build the necessary IT infrastructure. For further information, please refer to the securities prospectus approved by the Luxembourg CSSF and the related German summary of the securities prospectus in the digital subscription section.

The holders and the respective number of profit participation certificates are entered in a corresponding register of the Company by the Board of Directors. A corresponding confirmation of registration can be issued for each holder at any time.

Generally, the Board of Directors will allocate the profit participation certificates (Genussscheine) within one to two months after signing the profit participation certificate agreement and taking the other steps, and you will be entered as the holder in the register of profit participation certificate holders. You will receive a letter from us confirming your registration and the number of your profit participation certificates.

Income taxation is based on the tax law of the state of residence of the respective holder. This may have different implications for the income from the securities, which you should discuss with your local tax advisor.
